Governance of Trust

Link4Life is the trading name for the Rochdale Boroughwide Cultural Trust. This is a registered company, limited by guarantee, which operates as a charity. In order to meet the criteria laid down by the Charity Commission this broadly means that the activities of the Trust will be recreational and available for the benefit of the public at large.

A formal 'trading company' has also been established which operates as Link4Life Trading - this is responsible for some of the services within the Trust that are not eligible for charitable status. This is a wholly owned subsidiary of the main company - with one hundred shares - and all of its profit is donated (gift aided) to the charity.

The two companies have their own Memorandum and Articles of Association and there is an inter-company trading agreement between them.

The Trust is governed by a Board of Trustees who act in a voluntary capacity. It continues to report regularly to the Council on its progress and achievements and feeds into the local democratic process.

A voluntary agreement - a Concordat - exists between Members and Trustees setting out the strategic role of the Trust with the Council and other partners and stakeholders. The Concordat also recognises the vital role that cultural services makes, creating the best possible quality of life for both individuals and communities in the Borough.


Board Representation

The maximum size of the Board of Trustees on the Charitable Company is 16. Three of these Trustees are local Councillors nominated by the Borough Council, representing the three main political parties. In addition to this, there are three Trustees currently serving on the Board of the Trading Company, and they attend the main Board meetings (which take place monthly) but in a non-voting capacity. Trustees may also serve on either the Finance Sub-Committee or Human Resources Sub-Committee.
